License Agreement

      END-USER LICENSE AGREEMENT FOR Gugila GroundWiz (full commercial version)


IMPORTANT -- READ CAREFULLY:

This Gugila End-User License Agreement is a legal agreement between you (either an individual or a single entity) and Gugila for the Gugila GroundWiz product ("Software") and the applicable documentation. By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this End-User License Agreement. If you do not agree to the terms of this License Agreement, do not install or use the Software.


SOFTWARE PRODUCT LICENSE

1. General
The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold. You may not rent, lease, or lend the Software. You may permanently transfer all your rights under this End-User License Agreement, provided you retain no copies, you transfer all of the Software and this End-User License Agreement, and the recipient agrees to the terms of this End-User License Agreement.

Gugila GroundWiz remains the property of Gugila at all times.

2. Use of GroundWiz
Gugila grants you a nonexclusive, nontransferable license to use the Software with equipment owned by you or under your control, according to the terms and conditions of this Agreement. This Agreement permits a single user to install and use the Software on only one computer at one location at any one time.

The simultaneous use of this Software by multiple personnel requires additional licenses. Use of this Software over an internal network requires a separate license for each user. The licensee shall not use, copy, rent, lease, sell, modify, decompile, disassemble, reverse engineer, or transfer the licensed Software except as provided in this agreement. Any such unauthorized use shall result in immediate termination of this license.

3. Transfer
You may not rent, lease, sublicense or lend the Software. You may, however, transfer all your rights to use Software to another person or legal entity provided that you transfer this agreement, the files, including all copies, updates or prior versions. You must inform Gugila in writing about a license transfer and the new user has to accept this license agreement. In case of such a transfer the license of the former user expires and all remaining data covered by this license must be deleted/destroyed.

4. Termination
This agreement is in effect until terminated. You may terminate the agreement at any time by destroying all copies of the Software and documentation and erasing any copies on storage media. The agreement also terminates if you fail to comply with any terms and conditions of this agreement.

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHOR(S) BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
